1.3  If there is any conflict, the following order of precedence applies: (a) the Special Terms; (b) the rest of the Order Form; (c) the clauses of these Customer Terms; and (d) the Schedules to these Customer Terms.

1.4  The Schedules form part of these Customer Terms. If the Customer has a separate written agreement with SystemsX for the same Services signed by both parties, that agreement applies instead of these Customer Terms.

2. Delivery and acceptance

2.1  SystemsX will provide the Customer with the details needed to access the Software on or around the Effective Date.

2.2  The Customer is deemed to have accepted the Software on first operational use.

3. Licence and Customer obligations

3.1  In consideration of the Fees, SystemsX grants the Customer a non-exclusive, non-transferable licence during the Term to access and use the Software for its internal business purposes only.

3.2  The Customer shall not: (a) sub-license, assign or transfer the Software or the Agreement, except with SystemsX’s prior written consent; or (b) copy, adapt, reverse engineer, decompile, disassemble or otherwise attempt to derive the Software’s source code, except to the extent permitted by law.

3.3  The Customer shall: (a) provide timely access to the Customer Systems, data and personnel reasonably required to provide the Services; (b) keep its list of Users accurate and up to date; (c) keep all login credentials secure; and (d) use the Software in accordance with the Agreement and Applicable Laws.

3.4  SystemsX shall not be in breach of the Agreement for any delay, failure or unavailability of the Services arising from the Customer Systems or from the Customer’s failure to comply with clause 3.3. Where the Customer changes or replaces any Customer Systems integrated with the Software, any re-integration work will be charged at the Day Rate, and the Licence Fees remain payable throughout.

4. Support Services and updates

4.1  SystemsX will provide the Support Services during the Term in accordance with Schedule 1.

4.2  SystemsX may make reasonable changes to the Support Services and may update the Software from time to time, provided such changes do not materially reduce the overall level of service or functionality.

5. Additional Services and developments

5.1  Additional Services will be agreed in writing between the parties and, unless otherwise agreed, charged at the Day Rate on a time and materials basis.

5.2  Any developments will be agreed in accordance with Schedule 2.

6. Users

6.1  The Customer may add Users at any time by notice in writing (email is sufficient), and SystemsX will provision them promptly. Additional Users are charged at the applicable per-user rate set out in the Order Form, pro-rata to the end of the current billing period.

6.2  The Customer may reduce the number of Users by giving at least two months’ written notice, provided the number of Users does not fall below the Minimum Users. Reductions take effect from the first billing date after the notice period ends.

7. Fees and payment

7.1  The Customer shall pay the Fees set out in the Order Form. Unless the Order Form states otherwise, Licence Fees are invoiced in advance for each billing period, setup fees are invoiced on the Effective Date, and Additional Services are invoiced monthly in arrears.

7.2  All Fees are exclusive of VAT and any other applicable taxes, which are payable by the Customer where applicable.

7.3  Invoices are payable within 30 days of the invoice date, using the payment method set out in the Order Form. Interest accrues on overdue amounts at 8% per year above the Bank of England base rate.

7.4  The Licence Fees shall increase on each anniversary of the Effective Date by the percentage change in CPI for the 12-month period ending on the last day of the month preceding that anniversary. Where the percentage change in CPI for that period is zero or negative, the Licence Fees shall remain unchanged and shall not decrease.

7.5  The Day Rate is fixed for the first Contract Year and increases by 8% (cumulatively) on each anniversary of the Effective Date.

7.6  In exceptional circumstances, including unforeseen market, regulatory or global events, where the third-party costs directly incurred by SystemsX in providing the Services increase materially, SystemsX may increase the Licence Fees to reflect that increase on at least 60 days’ written notice.

7.7  Out of pocket expenses incurred in connection with implementation, training or project services are subject to prior approval by the Customer. Approved expenses are re-chargeable as follows (exclusive of VAT): mileage at £0.45 per mile; accommodation at a minimum of £120 per night per person; subsistence at a minimum of £25 per day per person; and other travel costs (rail, taxis, flights) at cost.

7.9  Non-payment does not end the Agreement or reduce the Customer’s obligations under it. SystemsX may recover overdue amounts as a debt, together with interest under clause 7.3 and its reasonable costs of recovery.

8. Confidentiality

8.1  Each party shall keep the other’s Confidential Information confidential and use it only for the purposes of the Agreement.

11.1  The Customer acknowledges that the Software includes features powered by AI, and that AI-generated content may be inaccurate or incomplete.

11.3  The Software is not designed, intended or marketed for the processing, storage or transmission of payment card data. The Customer shall not use the Software to process or intentionally record payment card data and is responsible for ensuring that appropriate PCI DSS-compliant payment solutions are used for all card transactions.

11.4  Where enabled, SystemsX may apply automated detection, redaction, hashing, alerting or access restriction measures to personal data or payment card data captured within Interactions. Such measures are risk-mitigation tools only and are not guaranteed to identify or remove all personal data or payment card data. SystemsX does not assume responsibility for the Customer’s PCI DSS compliance and is not a PCI DSS-compliant payment processor.

12. Data protection

12.1  Each party shall comply with Applicable Data Protection Laws.

c.  be liable for any acts, errors or omissions of its sub-processors as if they were a party to the Agreement;

e.  maintain an up-to-date list of its sub-processors and make it available to Customer on request.

12.7  Customer may object to a new sub-processor only on reasonable data protection grounds, by notice in writing within 14 days of when the notification is sent. The parties will work in good faith to resolve the objection. Customer may terminate the Agreement under this clause only where SystemsX cannot reasonably offer an alternative, and any Fees paid or due up to the date of termination remain payable.

12.8  Data retention. SystemsX will retain Customer Personal Data only for as long as reasonably necessary to provide the Services and in accordance with the retention periods set out below, unless otherwise agreed in writing between the parties.

Upon termination or expiry of the Agreement, SystemsX will securely delete Customer Personal Data within 30 days, unless continued retention is required to comply with applicable law or regulatory obligations.

12.9  International data transfers. Customer Personal Data is stored, and processed by SystemsX on its own infrastructure (including transcription), within the United Kingdom, unless otherwise agreed under clause 12.10. Processing by SystemsX’s third-party AI sub-processors takes place outside the UK, subject to the safeguards in clause 12.11, and such data is deleted immediately after processing.

12.10  For customers located outside the UK, Customer Personal Data may be hosted in alternative locations upon request if justified by legitimate data residency requirements or country-specific data protection laws.

12.11  If Customer Personal Data is transferred to, or processed in, a country outside the UK or the European Economic Area (EEA) that has not been subject to an adequacy decision by the UK Government or European Commission, SystemsX shall:

(a)  implement appropriate safeguards in accordance with Applicable Data Protection Laws, such as entering into the EU or UK Standard Contractual Clauses (SCCs);

(b)  ensure that sub-processors processing Customer Personal Data outside the UK or EEA are subject to equivalent safeguards; and

(c)  provide the Customer with copies of such safeguards upon request.

15.2  SystemsX may, at its option, terminate the Agreement immediately by written notice if the Customer fails to pay any amount within 7 days of the due date. SystemsX is not obliged to exercise this right.

15.3  For the purposes of clause 15.1(a), a personal data breach is treated as remedied where SystemsX has notified the Customer in accordance with clause 12, taken reasonable steps to contain and mitigate it, and implemented measures to prevent it recurring, within 30 days of the Customer’s written notice.

17. Force majeure

17.1  Neither party shall be liable for any delay or failure to perform its obligations to the extent caused by an event beyond its reasonable control (a Force Majeure Event), provided it notifies the other party promptly and uses reasonable endeavours to minimise the effect.

17.2  The following are not Force Majeure Events: (a) any act, omission or decision of the Customer or anyone acting on its behalf; (b) any change to, replacement, upgrade, suspension or failure of any Customer Systems, or any withdrawal or restriction of SystemsX’s access to them; and (c) any failure or delay in payment.

17.3  A Force Majeure Event does not relieve the Customer of its obligation to pay the Fees.

17.4  If a Force Majeure Event affecting SystemsX’s own systems or suppliers prevents SystemsX from providing substantially all of the Services for more than 90 consecutive days, the Customer may terminate the Agreement on written notice. This is the Customer’s sole right to terminate arising from a Force Majeure Event.

18. Publicity

18.1  SystemsX may identify the Customer as a customer, including by using its name and logo, in its marketing materials, unless the Customer objects in writing. Case studies, testimonials and quotes require the Customer’s prior approval.

19.5  Severance: if any provision is found invalid or unenforceable, the rest of the Agreement continues in force.

19.6  Waiver: a failure or delay in exercising any right is not a waiver of that right.

19.7  Third-party rights: no person other than the parties has any right to enforce the Agreement under the Contracts (Rights of Third Parties) Act 1999.

19.8  Electronic signature: the Order Form may be signed electronically, and electronic signatures are valid and binding.

They do not apply to any issue caused by Customer Systems or any third party engaged by the Customer, including its telephony, CRM, website, live chat, email or online meeting platforms (a Customer-side Issue). A Customer-side Issue is not a P1, P2 or P3 Support Request. Before raising a Support Request, the Customer shall take reasonable steps to check that the issue is not a Customer-side Issue. Where SystemsX reasonably determines that an issue is a Customer-side Issue, it will notify the Customer, and resolving it is the Customer’s responsibility. Once resolved, SystemsX will restore the connection with the Software.

Any assistance SystemsX provides with a Customer-side Issue is a goodwill gesture at its discretion.
